Results of Operations and Financial Condition.
 
 
                On Wednesday, July 20, 2005, Knight Transportation, Inc., an Arizona corporation (the "Company"), issued a press release (the "Press Release") announcing its financial results for the quarter and six months ended June 30, 2005. A copy of the Press Release is attached to this report as Exhibit 99.1.
