Item 1.01 Entry into a Material Definitive Agreement.
On September 29, 2004, 8x8, Inc. ("8x8") entered into a sublease agreement with SafeNet, Inc. ("SafeNet") under which 8x8 will sublease a new headquarters facility from SafeNet for a term of fifty-seven months commencing December 1, 2004.
A copy of the sublease is attached to this report as Exhibit 10.1 and is incorporated herein by reference.
