Item 8.01. Other Events.
On February 6, 2008, the company announced that Louis A. DeNaples, Director and Chairman of the Board, is taking a temporary leave of absence from the Boards of the company and its subsidiary, First National Community Bank. Mr. J. David Lombardi, President and Chief Executive Officer, will serve as acting Chairman of the Boards.
