4,125,100 Shares which constitutes approximately 5.6% of the
total number of Shares outstanding. This is based on the Issuer's
Form 10-K for the fiscal year ended October 31, 2003 which
reflected 74,194,358 Shares outstanding as of December 31, 2003.
