Item 1.    Description of Registrant's Securities to be Registered

        This Registration Statement (the "Registration Statement") relates to the registration with the Securities and Exchange Commission (the "Commission") of $1,000,000,000 aggregate principal amount of 73/8% Senior Notes due 2013 (the "Notes") of Tenet Healthcare Corporation, a Nevada corporation ("Tenet" or the "Registrant"), which Notes are being issued by Tenet pursuant to a prospectus incorporated into Registrant's Registration Statement on Form S-3 (No. 333-74640) (the "S-3 Registration Statement") filed with the Commission on December 6, 2001, and a prospectus supplement filed with the Commission on January 23, 2003 pursuant to Rule 424(b)(5) of Regulation C (the "Prospectus Supplement"). The descriptions of the Notes to be registered hereunder are set forth under the caption "DESCRIPTION OF NOTES" in the Prospectus Supplement and are hereby incorporated herein by reference.

        The form of prospectus incorporated in the S-3 Registration Statement and the Prospectus Supplement shall be deemed to be incorporated by reference in this Registration Statement.
