ITEM 8.01 OTHER EVENTS.

          On January 19, 2018, Mr. Colin Smith informed SunOpta Inc. (“SunOpta”) that he would no longer be able to serve as Chief Operating Officer of the Consumer Products Segment of SunOpta, effective January 31, 2018, due to his acceptance of a new role at Oaktree Capital Management L.P. (“Oaktree”). Mr. Smith is currently a Managing Director and member of the Portfolio Transformation Team at Oaktree. Mr. Smith was appointed COO of SunOpta’s Consumer Products Segment in February 2017, following Oaktree’s investment in and strategic partnership with SunOpta in October 2016. Mr. Smith’s position with the Consumer Products Segment will be eliminated following his departure. Mr. Smith did not serve as SunOpta’s principal operating officer, and he was not a “named executive officer” of SunOpta.
