On January 5, 2006, the registrant disseminated a press release, Whitney Information Network, Inc. Appoints Stephen L. Cootey to Its Board of Directors attached as Exhibit 99.7.  Mr. Cootey was appointed pursuant to a shareholder’s agreement entered into on December 12, 2005 between the Company and Prides Capital which requires the Company to nominate, and use its best efforts to elect, a representative of Prides to the Company’s Board of Directors.
