Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

In a press release dated December 1, 2006, Ascent Solar Technologies, Inc. (the “Company”) announced the resignation of Mark T. Waller from its Board of Directors, effective November 30, 2006.  Mr. Waller will be leaving the Board to reduce conflicts of interest in his principal business as a financial advisor to other companies, particularly in the energy sector.  The press release, entitled “Ascent Solar Announces Resignation of Director,” is furnished as Exhibit 99.1 to this report.
