Item 5.07 Submission of Matters to a Vote of Security Holders.
An annual meeting of the stockholders of Intrepid Potash, Inc. (the Corporation) was held on May 25, 2011. Stockholders voted to elect both nominees for director, ratified the appointment of KPMG LLP as the Corporations independent registered public accounting firm for the fiscal year ending December 31, 2011, approved, by non-binding, advisory vote, the Corporations executive compensation and recommended by non-binding, advisory vote, that the Corporation hold an advisory vote on executive compensation annually. The matters that were voted upon at the Corporations annual meeting of stockholders, and the number of votes cast for and against, as well as the number of abstentions and broker non-votes as to each such matter, where applicable, are set forth below.

On May 25, 2011, following the annual meeting of stockholders, the Corporations Board of Directors determined to hold an advisory vote on executive compensation annually until the next required stockholder vote on the frequency of stockholder votes on executive compensation.
