RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On August 22, 2006, Toll Brothers, Inc. issued a press release which contained Toll Brothers, Inc.’s results of operations for its nine-month and three-month periods ended July 31, 2006, a copy of which release is attached hereto as Exhibit 99.1 to this report.

ITEM 7.01.

REGULATION FD DISCLOSURE

On August 22, 2006, Toll Brothers, Inc. will host a conference call for investors to discuss the results of operations for its nine-month and three-month periods ended July 31, 2006, and to discuss the expected results of operations for the quarter and fiscal year ending October 31, 2006. The Company also intends to give a brief overview of expected deliveries and the average delivered price of its traditional homes and expected percentage of completion revenues for the quarter ending January 31, 2007 and for the fiscal year ending October 31, 2007. A summary of the guidance to be given is attached hereto as Exhibit 99.2 to this report.
