Item 1.01 Entry into a Material Definite Agreement
On September 27, 2005, GoPublicToday.com ("GPT"), a subsidiary of Public Company Management Corporation (the "Registrant"), reached an agreement with LTS LeaderBoard Tournament, Inc., to perform consulting and advisory services in conjunction with the development of a full federally registered securities registration package for the sale, to the public, of the securities of LTS LeaderBoard and other similar matters agreed to pursuant to the executed Consulting Agreement, a copy of which is filed herewith as exhibit 10.
Under the Consulting Agreement, GPT will assist LTS LeaderBoard in becoming a publicly traded company on the OTCBB through a proposed private placement and registration for resale of securities issued by LTS LeaderBoard and will consult with LTS LeaderBoard on maintaining compliance with the reporting requirements of the Securities Exchange Act of 1934.
In exchange for providing securities registration services, GPT and will receive cash and securities issued by LTS LeaderBoard as compensation.
LTS LeaderBoard is a Sports Marketing and Entertainment Production Company that has utilized its proprietary software technologies to become a large global franchising organization servicing growing businesses of tournament golfing events. Though primarily aimed at golf tournament organizers with unique tournament services such as scoring and managing tournament administration, LTS LeaderBoard can also assist event managers and sponsors with sports sponsorship opportunities.
