RESULTS OF OPERATIONS AND FINANCIAL CONDITIONS

On February 22, 2006, the Registrant issued a press release, declaring a quarterly cash dividend of $0.08 per common share, payable on March 30, 2006 to shareholders of record as of March 4, 2006. The record date of March 4, 2006 is in error. The correct date is March 6, 2006.

A copy of the press release is attached as Exhibit 99.1 to this Form 8-K.
