Item 5.02.   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On September 25, 2008, Steven P. Valerius was elected Executive Vice President and Chief Administrative Officer of Kirby Corporation (“Kirby”), effective October 1, 2008.  Mr. Valerius previously served as President of Kirby Inland Marine LP, Kirby’s principal marine transportation subsidiary.  Gregory R. Binion was elected to succeed Mr. Valerius as President of Kirby Inland Marine, L.P.
