10-Q, N-SAR or the transition report portion thereof could not be filed within
the prescribed time period.

      The compilation, dissemination and review of the information required to
be presented in the Form 10-QSB for the relevant period has imposed time
constraints that have rendered timely filing of the Form 10-QSB impracticable
without undue hardship and expense to the registrant. The registrant undertakes
the responsibility to file such annual report no later than five days after its
original prescribed due date.

The Company's revenues for the three months ended March 31, 2004 increased by
22% to $295,280 from $242,728 for the three months ended March 31, 2003. Total
operating expenses incurred for the three months ended March 31, 2004
approximated $236,680, as compared to $114,797 for the three months ended March
31, 2003. The increase in operating expenses of 106% was primarily attributable
to an increase in employee recruiting during 2003 and an increase in sales and
marketing expenses.
