Item 8.01. Other Events.

On May 17, 2010, XsunX, Inc., a Colorado corporation (the “Company”) released a letter to shareholders providing an update to the Company’s efforts to develop new manufacturing technology for the mass production of Copper Indium Gallium (di) Selenide (CIGS) thin film solar cells. The letter outlines multiple general areas of current technology development focus, general project information, and the initial decision by the Company to identify suitable opportunities for XsunX to pursue related to a recent Funding Opportunity Announcement (FOA) from the U.S. Department of Energy (DOE) which focuses on domestic supply chains within the renewable energy sector. A copy of the Shareholder Newsletter is attached hereto as Exhibit 99.1 and is hereby incorporated by reference into this Item 8.01.
