Item 8.01 Other Events.

On August 3, 2010, XsunX, Inc., a Colorado corporation (the “Company”) released a letter to shareholders (the “Shareholder Newsletter”) providing an update to the Company efforts to develop a new hybrid manufacturing technology for the mass production of Copper Indium Gallium (di) Selenide (CIGS) thin film solar cells. The Shareholder Newsletter provides an update regarding completion of the assembly of an evaporation deposition system, the start up and calibration of the system, and XsunX’s plans to begin processing trials with the system with the intent to produce full size working CIGS solar cell samples.  A copy of the Shareholder Newsletter is attached hereto as Exhibit 99.1 and is hereby incorporated by reference into this Item 8.01.
