ITEM 5.07. Submission of Matters to a Vote of Security Holders.

 

On May 21, 2013, the registrant held its 2013 Annual Meeting of Shareholders. The following matters were submitted to a vote of the shareholders of record as of March 15, 2013 through the solicitation of proxies:

 

1.To elect seven directors to serve for one year and until their successors have been duly elected and qualified;
2.To provide an advisory (non-binding) vote to approve compensation of the registrant’s named executive officers; and
3.To ratify the selection of Ernst & Young LLP as the registrant’s independent registered public accounting firm for 2013.

 

All seven nominees were elected to serve for one year and until their successors have been duly elected and qualified. The results of the election were as follows:
