EXPLANATORY NOTE

        The purpose of this Registration Statement on Form S-8 (this “Registration Statement”) is for Alvarion Ltd. (the “Registrant”) to register an additional 4,361,376 Ordinary Shares for issuance under the Alvarion Ltd. The 2006 Global Share Based Incentive Plan.
