On March 16, 2005, Impac Mortgage Holdings, Inc. (the “Company”) issued a press release announcing the status of the filing of its Annual Report on Form 10-K for the year ended December 31, 2004, and providing an update on management’s assessment of the Company’s internal control over financial reporting. The press release is attached hereto as Exhibit 99.1 and (except for the sixth paragraph, which is a statement by Mr. Tomkinson) incorporated herein by reference.
