Item 1.01. Entry into a Material Definitive Agreement.

 

(c) On June 20, 2005, Microsoft Corporation (“Microsoft”) increased the compensation of Kevin R. Johnson, Group Vice President, World Wide Sales, Marketing and Services.

 

Mr. Johnson’s employment is at-will. As a result of the increase, he will receive a salary of $570,000 per year and is eligible for an annual bonus ranging from 0% to 100% of eligible salary. In addition, Mr. Johnson participates in Microsoft’s Shared Performance Stock Award (“SPSA”) Program, with a target SPSA award of 696,296 shares of Microsoft common stock.
