Item 8.01 Other Events.
A special meeting of stockholders of Spinnaker Exploration Company will be held on Tuesday, December 13, 2005 at 10:00 a.m., local time, at the Doubletree Hotel at Allen Center, 400 Dallas Street at Bagby, Houston, Texas, for the following purposes:
1. | To consider and vote upon a proposal to adopt the previously announced merger agreement for Norsk Hydro ASA to acquire Spinnaker by merger; |
2. | To approve the adjournment of the special meeting to solicit additional proxies if there are insufficient votes at the time of the special meeting to adopt the merger agreement and Spinnaker determines that such an adjournment is appropriate; and |
3. | To transact such other business as may properly come before the special meeting or any adjournment or postponement thereof. |
Spinnaker has fixed the close of business on November 9, 2005 as the record date for the determination of stockholders entitled to notice of, and to vote at, the special meeting. This date replaces the previous record date of October 17, 2005 that had been set by Spinnaker. Spinnaker elected to set a new record date due to the unusually heavy trading volume in Spinnakers common stock that commenced October 27. Spinnaker expects to mail definitive proxy materials to stockholders during the week of November 14, 2005.
