ITEM 8.01 OTHER EVENTS.

On March 22, 2007, the registrant issued a press release announcing that the first patient was enrolled in the RAPID MI-ICE study employing InnerCool’s endovascular temperature modulation therapy for heart attack. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
