Item 8.01. Other Events.

On May 23, 2007, Ventas, Inc. (the “Company”) completed the issuance and sale of 26,910,000 shares of its common stock, par value $0.25 per share (“Common Stock”), in an underwritten public offering. The number of shares of Common Stock issued and sold includes the full exercise of the underwriters’ overallotment option. The Company now has approximately 133 million shares of Common Stock outstanding.
