Item 2.02

Results of Operations and Financial Condition.

On November 10, 2008, Northeast Utilities (“NU” or the “company”) issued a news release announcing its unaudited results of operations for the third quarter and year to date 2008 and related financial information for certain of its subsidiaries for the same period. In addition, the company provided updated consolidated earnings and segment guidance for 2008, consolidated earnings and segment guidance for 2009 and new capital investment projections. A copy of the news release and related financial reports are attached as Exhibits 99.1 and 99.2, respectively, and are incorporated herein by reference thereto.
