AIRGAS COMMENTS ON AIR PRODUCTS’

PRELIMINARY PROXY FILING

RADNOR, PA – June 16, 2010 – Airgas, Inc. (NYSE: ARG) today issued the following statement in response to the preliminary proxy materials filed today by Air Products & Chemicals, Inc. (NYSE: APD) (“Air Products”) with the Securities and Exchange Commission in connection with Air Products’ unsolicited offer to acquire Airgas for $60.00 per share.

The Airgas Board of Directors is proud of its outstanding track record of creating stockholder value and believes that record speaks for itself. Despite Air Products’ self-serving claims to the contrary, the Airgas Board is keenly aware of its fiduciary duties, and it has and will continue to act in the best interests of all Airgas stockholders.

The Airgas Board is comprised of nine highly qualified directors, eight of whom are independent, and the other of whom holds substantial equity in the company.

This Board has unanimously concluded that Air Products’ unsolicited tender offer and proxy solicitation for its hand-picked nominees are an opportunistic attempt to advance Air Products’ goal of transferring the value of Airgas to Air Products at a grossly inadequate price.

The Board continues to recommend that stockholders reject the Air Products offer.

Bank of America Merrill Lynch and Goldman, Sachs & Co. are serving as financial advisors, and Wachtell, Lipton, Rosen & Katz is serving as legal counsel to Airgas and its Board of Directors.
