Subject:    Air Products’ Revised Offer for Airgas

As you may know, Air Products issued a news release yesterday announcing that it has revised its tender offer to acquire all of the outstanding shares of Airgas for $63.50 per share.

The Airgas Board of Directors has previously considered and rejected prior proposals from Air Products of $62 and $60 per share. We will review yesterday’s Air Products offer with the help of our independent financial and legal advisors. We have advised all Airgas shareholders to take no action at this time.
