ITEM 8.01 OTHER EVENTS.

On November 3, 2010, Cardium Therapeutics, Inc. (“Cardium”) issued a press release announcing that the Company was awarded a cash grant of approximately $245,000 under the U.S. Government’s Qualifying Therapeutic Discovery Project program to further its Generx clinical development program. On November 4, 2010, Cardium issued a press release announcing the launch of its MedPodium healthy lifestyle product platform and new Web boutique at www.medpodium.com. Copies of the press releases are attached hereto as Exhibit 99.1 and Exhibit 99.2 respectively and incorporated by reference herein.
