Item 2.02. Results of Operations and Financial Condition.

Explanatory Note:

On November 7, 2011, Cracker Barrel Old Country Store, Inc. (the “Company”) issued a press release announcing the Company’s fiscal 2012 first quarter preliminary results of operations and updated earnings guidance for fiscal 2012 and filed a Current Report on Form 8-K (the “Prior Form 8-K”) which included a copy of the press release. This Amendment No. 1 amends the Prior Form 8-K to correct an inadvertent error in the press release for “Comparable retail sales” for October 2011 of 0.02%.

A copy of the corrected press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
