Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 7, 2012, Cricket Communications, Inc. (the Company) entered into an agreement with Jeffrey E. Nachbor, senior vice president, financial operations and chief accounting officer of the Company and its parent company, Leap Wireless International, Inc. (Leap). Under the agreement, Mr. Nachbor will receive a retention bonus of up to $350,000, with $83,333 to be paid upon the signing of the agreement, $83,333 to be paid in each of February 2013 and February 2014 and up to $100,000 to be paid at a time determined by the Companys chief executive officer in his discretion based on his review, assessment and determination of Mr. Nachbors effectiveness. Payments are contingent upon Mr. Nachbor being an active, full-time employee in good standing on the date any payment is to be made. The Company and Mr. Nachbor also entered into an additional agreement to provide Mr. Nachbor a lump sum payment of $40,000 (with such amount to be grossed-up to cover applicable taxes) to cover his temporary living expenses for the next 18 months.
The agreements between the Company and Mr. Nachbor will be filed as exhibits to Leaps Quarterly Report on Form 10-Q for the quarter ending March 31, 2012.
