Item 4.01 Changes in Registrants Certifying Accountant.
During fiscal year 2012, in consultation with management, the Audit Committee of the Board of Directors (Audit Committee) of Exide Technologies (Company) commenced a process to select a firm to serve as the Companys independent registered public accounting firm for the fiscal year ending March 31, 2013. As a result of this process, and following careful deliberation, on June 8, 2012, the Audit Committee approved the engagement of KPMG LLP as the Companys independent registered public accounting firm and dismissed PricewaterhouseCoopers LLP (PwC) from that role.
During the Companys fiscal years ended March 31, 2012 and 2011, and through June 8, 2012, there were no disagreements with PwC on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreements if not resolved to the satisfaction of PwC would have caused PwC to make reference to the subject matter of the disagreement in its report.
PwCs reports on the financial statements of the Company for the fiscal years ended March 31, 2012 and 2011 did not contain any adverse opinion or a disclaimer of opinion, nor were they qualified or modified as to uncertainty, audit scope, or accounting principles.
During the Companys fiscal years ended March 31, 2012 and 2011, and the subsequent interim period through June 8, 2012, there were no reportable events as that term is defined in Item 304(a)(1)(v) of Regulation S-K.
The Company has provided PwC with a copy of the above disclosures and has requested that PwC furnish the Company with a letter addressed to the Securities and Exchange Commission stating whether PwC agrees or disagrees with the statements made by the Company in this Current Report on Form 8-K and, if PwC disagrees, stating the respects in which it does not agree. A copy of PwCs letter, dated June 13, 2012, is filed as Exhibit 16.1 to this Current Report on Form 8-K.
During the Companys two most recent fiscal years and through the date of this Current Report on Form 8-K, neither the Company, nor any party on the Companys behalf, consulted KPMG LLP with respect to (i) the application of accounting principles to a specified transaction, either completed or proposed, or the type of the audit opinion that might be rendered on the Companys consolidated financial statements, and no written report or oral advice was provided to the Company that KPMG LLP concluded was an important factor considered by the Company in reaching a decision as to any accounting, auditing or financial reporting issue, or (ii) any matter that was subject to any disagreement, as defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions thereto, or a reportable event within the meaning set forth in Item 304(a)(1)(v) of Regulation S-K.
