Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
The Third Amended & Restated Bylaws of Ennis, Inc. a Texas corporation (the Company), were approved by the Board of Directors of the Company on April 17, 2014.
Section 7 of Article II of the previous bylaws was amended to provide that the election of directors at a meeting of the Companys shareholders will require a majority of the votes cast, unless the election of directors is contested, in which case directors will be elected by a plurality of votes cast. The amendments also provide that a director that does not receive a majority of votes cast in his or her favor in an uncontested election must submit a letter of resignation to the Nominating and Governance Committee of the Companys Board of Directors (the Board). The Nominating and Governance Committee will assess the appropriateness of such person continuing to serve as a director and recommend whether to accept or reject the resignation, or to take other action.
The amendments to Section 7 also provide that, for any other matter to be voted on by the Companys shareholders, the vote of the holders of the shares present or represented by proxy at such meeting and representing a majority of the votes entitled to be cast by each class of stock will decide such matter.
The other amendment to the previous bylaws was to Section 1 of Article III, to clarify that a directors resignation as a result of the changes to Section 7 of Article II will result in such director no longer holding office as a member of the Board.
