NARRATIVE
State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, N-CSR or the transition report or portion thereof, could not be filed within the prescribed time period.
CECO Environmental Corp. (the Company) has experienced unexpected delays in the filing of its Annual Report on Form 10-K for the year ended December 31, 2015 (the Form 10-K) within the prescribed time period due to delays experienced in completing the Companys financial statements. The delays could not be eliminated without unreasonable effort or expense.
Due to its recent acquisition of PMFG, Inc. in September 2015, and the need to conclude necessary review procedures in connection with the acquisition, the Company requires additional time to complete the documentation, audit and evaluation of its financial statements for the year ended December 31, 2015. The Company anticipates filing the Form 10-K as soon as practical.

EXHIBIT A
As reported in the Companys earnings release for the quarter and year ended December 31, 2015, the Company had revenue of $103.9 million for the fourth quarter of 2015, up 37% from $76.1 million in the prior-year period. Revenue was $370.1 million for the year ended December 31, 2015, up 41% from $263.2 million in the prior year. Operating income was $0.1 million for the fourth quarter of 2015 compared with $3.7 million in the prior-year period. Operating income was $5.4 million for the year ended December 31, 2015 compared with $21.7 million in the prior year. Net loss per diluted share was $0.09 in the fourth quarter of 2015, compared with net income per diluted share of $0.07 in the prior-year period. Net loss per diluted share was $0.19 for the year ended December 31, 2015, compared with net income per diluted share of $0.50 in the prior year.
