On April 22, 2016, Virgin America Inc. (Virgin America or the Company) issued a press release (the Press Release) announcing the decision of the Companys Board of Directors to postpone the Companys annual meeting of stockholders scheduled to be held on May 10, 2016 pending the Companys proposed merger with Alaska Air Group, Inc. (Alaska Air Group). A copy of the Press Release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
