On May 18, 2016, Gaming and Leisure Properties, Inc., a Pennsylvania corporation (the Company), entered into an underwriting agreement (the Underwriting Agreement) with certain selling shareholders (the Selling Shareholders) affiliated with Fortress Investment Group LLC, and Merrill Lynch, Pierce, Fenner & Smith Incorporated, J.P. Morgan Securities LLC and Wells Fargo Securities, LLC, as underwriters, with respect to the sale (the Offering) by the Selling Shareholders of 10,530,624 shares of the Companys common stock, par value $0.01 per share (the Common Stock). The Company did not receive any of the proceeds from the Offering.
The Offering is expected to close on May 24, 2016, subject to customary closing conditions.
The Offering was made pursuant to a prospectus supplement and an accompanying prospectus related to the Companys effective shelf registration statement on Form S-3 (File No. 333-210423), each of which has been filed with the Securities and Exchange Commission.
