On August 14, 2017, Omeros Corporation (the Company) entered into an underwriting agreement (the Underwriting Agreement) with Cantor Fitzgerald & Co., as the representative of the several underwriters named therein (collectively, the Underwriters) relating to the public offer and sale of 3,000,000 shares of the Companys common stock, $0.01 par value per share (the Common Stock), at a price to the public of $22.75 per share. The Company also granted Cantor Fitzgerald & Co. a 30-day option to purchase up to an additional 450,000 shares of the Common Stock (the Optional Shares). The net proceeds to the Company from the sale of the Common Stock, after deducting the underwriting fees and discount and other estimated offering expenses payable by the Company, are expected to be approximately $63.6 million, or approximately $73.1 million if the option to purchase the Optional Shares is exercised in full. The offering is expected to close on August 18, 2017, subject to the satisfaction of customary closing conditions.
The offer and sale of the Common Stock (as well as the Optional Shares) has been registered under the Securities Act of 1933, as amended (the Securities Act), pursuant to the Companys shelf registration statement on Form S-3 (File No. 333-219959), which was filed with the U.S. Securities and Exchange Commission (the Commission) on August 14, 2017.
