Item 1.01. Entry into a Material Definitive Agreement.

On November 5, 2004, the Board of Directors of Platinum Underwriters Holdings, Ltd. (the "Company") adopted the First Amendment (the "Amendment") to the Company's Executive Incentive Plan (the "Plan"), which Amendment is attached hereto as Exhibit 99.1. As more fully described in the Amendment, the Amendment amends the Plan so that Plan participants are eligible to receive prorated awards under the Plan in the event of their termination without cause.
