Item 8.01 Other Events.

On August 16, 2005, The Goodyear Tire & Rubber Company (the "Company") issued a press release announcing that it has received notice that the staff of the U.S. Securities and Exchange Commission (the "Commission") intends to recommend that the Commission bring a civil enforcement action against the Company and certain former officers of the Company for possible violations of federal securities laws. A copy of the press release is filed as Exhibit 99.1 and is incorporated by reference into this report.
