Item 1.01 Entry into a Material Definitive Agreement.

On April 24, 2008, APAC Customer Services, Inc. (the "Company") entered into a new five-year Master Services Agreement (the "Agreement') with United Parcel Services OASIS Supply Company ("UPS"). The Agreement supercedes the prior Master Services Agreement, dated October 25, 2002. A copy of the Agreement is attached hereto as Exhibit 10.1 and incorporated herein by reference in its entirety.

Pursuant to the Master Services Agreement, the Company will continue to provide in-bound and out-bound customer interaction services at UPS's facilities in Newport News, Virginia and Tampa, Florida. The Company has a twelve year relationship with UPS.
