Item 1.01 Entry into a Material Definitive Agreement.

Effective March 10, 2010, Brush Engineered Materials Inc. and certain of its subsidiaries entered into an amendment (the "Amendment") of the Consignment Agreement (the "Agreement"), dated as of October 2, 2009, with Canadian Imperial Bank of Commerce and CIBC World Markets Inc.

The Amendment extends the maturity date of the Agreement as it relates to consignments of copper and related obligations from September 30, 2010 to January 31, 2011. The maturity date for consignments of gold and related obligations remains September 30, 2010.
