Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

(a) Amendment to Bylaws

On September 10, 2010, the Board of Directors of the Company approved and adopted an amendment to the Company’s Amended and Restated Bylaws originally approved and adopted by the Board of Directors on June 6, 2008 (the "Bylaws"). Section 2.5 of the Bylaws was amended and restated so as to reduce the number of shares present at a meeting of shareholders which shall constitute a quorum from a majority of the stock issued and outstanding to one-third (1/3) of the stock issued and outstanding.

A copy of the Amendment to the Company’s Bylaws as approved and adopted by the Board on September 10, 2010 is attached hereto as Exhibit 3.2.
