Item 5.02.      Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 20, 2009, Wynn Las Vegas, LLC (“WLV”), an indirect wholly owned subsidiary of Wynn Resorts, Limited (“WRL”), appointed Scott Peterson, age 42, to the position of Senior Vice President and Chief Financial Officer of WLV.  Prior to his appointment, Mr. Peterson was the Vice President and Chief Financial Officer of Wynn Resorts (Macau), S.A., a wholly owned indirect subsidiary of WRL, a position he held since June 2005.  From September 2002 to June 2005, Mr. Peterson was the Vice President—Finance of WLV.  From April 2001 to September 2002, Mr. Peterson was Assistant Vice President—Finance of Wynn Resorts Holdings, LLC, the sole member of WLV.
