Item 2.02.  Results of Operations and Financial Condition.
 
The following information is furnished pursuant to Item 2.02, “Results of Operations and Financial Condition.”
 
International Game Technology (IGT) announced the filing of the fiscal 2010 second quarter Form 10-Q and provided an update on Alabama market challenges.  As a result of the legal and political challenges in Alabama, IGT recognized $53.1 million of impairment in the second fiscal quarter ended March 31, 2010.  The impact of these charges on the information provided in IGT’s second quarter earnings press release on April 22, 2010 is described in IGT’s press release issued on May 13, 2010. The full text of the press release is furnished as Exhibit 99.1 to this report.
