ITEM 8.01 OTHER EVENTS
On December 21, 2011, the Company announced that the Board of Directors approved the repurchase of up to $193.0 million of the Company’s common stock. As of February 29, 2012, the Company has not yet repurchased any common stock. It is the intent of management to be disciplined and purchase stock at a price reflective of its trading range following the company’s second-step conversion. Management regularly considers the recent moving averages of its own stock price, the performance of the markets as a whole, along with the trends of bank indices in consideration of the price the Company pays to repurchase stock.
