Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 12, 2018, the Board of Directors of Kaman Corporation approved the First Amendment (the “Amendment”) to the Kaman Corporation Amended and Restated Employee Stock Purchase Plan (the “Plan”), which will be effective January 1, 2019, to provide for the purchase of fractional shares under the Plan.

The foregoing description of the Amendment is a summary and is qualified in its entirety by the copy of the Amendment attached hereto as Exhibit 10.1, which is incorporated herein by reference.
