           On December 7, 2012, the Registrant’s principal operating subsidiary, Norfolk Southern Railway Company (“NSR”), participated in the issuance of a joint Press Release, attached hereto as Exhibit 99, with the Michigan Department of Transportation (“MDOT”) and the Federal Railroad Administration announcing the sale of a 135-mile rail line from NSR to MDOT.
