Explanatory Note
Pursuant to Instruction 2 to Item 5.02 of Form 8-K, this Current Report on Form 8-K/A amends and supplements the information reported in Item 5.02(d) to the Current Report on Form 8-K dated August 31, 2012 (filed September 6, 2012) regarding the election of Clayton M. Jones to the Board of Directors of Cardinal Health, Inc. (the “Board).
Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 6, 2013, the Board appointed Clayton M. Jones to serve on the Human Resources and Compensation Committee of the Board. As previously disclosed, Mr. Jones was elected a director, effective September 13, 2012, by the Board on September 3, 2012.
