Item 1.01.  Entry into a Material Definitive Agreement.

         On April 8, 2005, the Compensation Committee of the Board of Directors
of REX Stores Corporation (the "Company") awarded cash bonuses to the Company's
senior executives for the fiscal year ended January 31, 2005 (fiscal 2004). The
Committee established the amount of the Company's after-tax earnings as a
percentage of sales as the performance measure for determining senior
executives' bonuses.

         Cash bonuses awarded to the Company's senior executives for fiscal 2004
were as follows: Stuart A. Rose, Chairman and Chief Executive Officer $821,689,
Lawrence Tomchin, Director, $192,070 and Douglas L. Bruggeman, Vice
President-Finance and Chief Financial Officer $42,917.
