Item 8.01 Other Events.
On April 15, 2005, MetLife, Inc., a Delaware corporation, and the
Governor's Office of the State of Connecticut issued a joint press release
announcing an agreement on job levels in connection with MetLife's proposed
acquisition of Travelers Life & Annuity. A copy of the press release is attached
hereto as Exhibit 99.1 and is incorporated herein by reference.
