Item 8.01. Other Events.
     On April 14, 2010, BioMed Realty Trust, Inc. (the “Company”) entered into an underwriting agreement with Raymond James & Associates, Inc., Morgan Stanley & Co. Incorporated, UBS Securities LLC, Wells Fargo Securities, LLC and KeyBanc Capital Markets Inc., as representatives of the underwriters (the “Underwriters”), pursuant to which the Company agreed to issue and sell 11,500,000 shares of the Company’s common stock, par value $0.01 per share (the “Common Stock”), plus up to an additional 1,725,000 shares of Common Stock pursuant to the Underwriters’ 30-day over-allotment option, at a price to the public of $17.25 per share. The Underwriters exercised their over-allotment option in full on April 15, 2010. The offering closed on April 19, 2010. Gross proceeds from the offering of an aggregate of 13,225,000 shares were approximately $228.1 million. After the closing of the offering, the number of shares of Common Stock outstanding was 113,544,573.
     The Company intends to use the net proceeds of the offering to repay a portion of the outstanding indebtedness under its $720.0 million unsecured line of credit and for other general corporate and working capital purposes.
