ITEM 5.07. Submission of Matters to a Vote of Securities Holders.
     This Current Report on Form 8-K supplements the Company’s Form 8-K filed with the Commission on April 18, 2011, which Form 8-K reported the voting results of the Company’s Annual Meeting of Shareholders held on April 14, 2011. Specifically, this amendment is filed solely to report that the full Board of Directors of the Company determined at a meeting thereof held on May 20, 2011 to adopt the recommendation of the Company’s shareholders with respect to the advisory vote on the frequency of considering the Company’s executive compensation programs. At the annual meeting of shareholders held on April 14, 2011, the Company’s shareholders recommended considering such “say on pay” proposals at every third annual meeting.
